By accessing or using the services of WEDOMINATE PRIVATE LIMITED ("Company," "we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services.
2. SERVICES OFFERED
We provide digital marketing and content creation services including but not limited to:
• Podcast editing and production
• YouTube video creation and editing
• Content strategy and optimization
• Performance analysis and
reporting
• Related digital marketing services
3. SERVICE ENGAGEMENT
3.1 Service Agreement Precedence
Specific terms for service delivery, including timelines, deliverables, payment schedules, and client responsibilities, are detailed in individual Service Agreements executed between the parties. In case of any conflict between these Terms of Service and a specific Service Agreement, the Service Agreement shall take precedence.
3.2 General Service Categories
• Project Services: One-time engagements with defined deliverables
• Membership Services: Ongoing monthly retainer arrangements with allocated service slots• Custom Services: Tailored engagements as defined in individual agreements3.3 Work Commencement
Services begin as specified in the individual Service Agreement. We reserve the right not to commence work until payment terms outlined in the Service Agreement are met.
3.4 Standard Client Responsibilities
Unless otherwise specified in the Service Agreement:
• Provide complete, usable materials by agreed deadlines
• Respond promptly to requests for feedback and approvals
• Grant necessary access to accounts and platforms as required
• Specific submission deadlines and requirements will be detailed in the Service Agreement
4. PAYMENT TERMS
4.1 General Payment Policy
Specific payment amounts, schedules, and methods are detailed in individual Service Agreements. General payment principles include:
• Payments accepted via invoice or automatic card charging as specified in Service Agreement
• Payment terms range from immediate to Net 30 days based on service type and agreement
4.2 Late Payments
Failure to pay within terms specified in the Service Agreement will result in suspension of services until payment is received.
4.3 Non-Refundable Services
All fees are non-refundable after work has commenced, except as outlined in our Refund Policy and specific Service Agreement terms.
5. INTELLECTUAL PROPERTY
5.1 Work Product Ownership
Upon full payment, Client owns all work product created specifically for the project, including intellectual property rights.
5.2 Agency Portfolio Rights
We reserve the right to showcase completed work in our marketing materials and portfolio.
5.3 Background IP
We retain ownership of pre-existing tools, templates, and methodologies. Client receives a license to use background IP in connection with delivered services.
6. SERVICE LIMITATIONS AND EXPECTATIONS6.1 Professional Standards
• We operate as specialists and expect clients to trust our expertise
• Micromanagement and "backseat driving" are not productive
• We do not provide detailed time logs or real-time project audits
• Communication occurs during business hours via professional channels only
6.2 Communication Policy
Primary communication via email and Slack during business hours
Response time: Within 24 hours for Slack communications
No text messaging, after-hours, weekend, or holiday communications
Mobile phones reserved for emergency agency use only
6.3 Team Changes ("New Sheriff Syndrome")
Changes in client personnel do not automatically result in strategy changes. We're happy to update points of contact but will not alter proven strategies upon new team member requests without justification.
7. ACCOUNT ACCESS AND SECURITY
As required for service delivery, we may need access to your social media, email, and website accounts. You acknowledge that we are not liable for issues arising with these accounts during our access period.
8. CONFIDENTIALITY
We maintain strict confidentiality of all client information and will only use such information for contract-related tasks unless written permission is provided.
9. LIMITATION OF LIABILITY
Our liability is limited to the amount paid for services. We are not liable for indirect, consequential, or punitive damages.
10. TERMINATION10.1 Termination Terms
Termination procedures, notice periods, and final payment obligations are specified in individual Service Agreements. General principles include:
• Either party may terminate services with written notice as specified in the Service Agreement
• Notice periods may vary based on service type and agreement terms
10.2 Early Termination
Specific early termination clauses, including payment obligations and notice requirements, are detailed in the Service Agreement.
10.3 Project Completion Requirements
Timeline requirements for project completion are specified in individual Service Agreements and may vary based on project scope and complexity.
11. GOVERNING LAW
These Terms are governed by the laws of India. Disputes will be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 2015 of India.
12. MODIFICATIONS
We reserve the right to modify these Terms at any time. Continued use of services constitutes acceptance of modified terms.

2. NO REFUNDS AFTER SPECIFIED PERIOD2.1 Resource Allocation
After the refund window specified in the Service Agreement (or 24 hours if not specified), we will have allocated resources, staff, and systems in reliance on the agreement. Therefore, refunds are not available once work has commenced beyond the specified timeframe.
2.2 Service-Specific Terms• Membership Services: Monthly fees are non-refundable after the specified period. Service slot utilization and carryover policies are detailed in the Service Agreement.
• Project Services: Refund terms specific to project milestones may be outlined in the Service Agreement.
• Custom Services: Refund conditions are specified in individual agreements.
3. DISPUTE RESOLUTION3.1 Contact Requirement

4. PROCESSING FEES4.1 Deduction Policy
Payment processing fees (typically 2.9% + $0.30 per transaction) are deducted from any approved refunds.
4.2 Processing Time
Approved refunds are processed within 14 business days to the original payment method.
5. EXCEPTIONS5.1 Service Non-Delivery
If we fail to deliver contracted services due to our inability to perform, refunds may be considered on a case-by-case basis.
5.2 Technical Issues
Refunds due to technical problems on our end will be evaluated individually and may result in service credits or partial refunds.
